“The Client” means the person or company that has contracted One Click Inventories to carry out the services “One Click Inventories” means One Click Inventories Ltd, an employee, or a member of the One Click Inventories network of affiliated providers “The Services” means the taking of an inventory of the contents and condition of a property and/or other such associated services. “Inventory” means an inventory of the contents and condition of a property and/or other such associated services/reports provided by One Click Inventories “Landlord” means any landlord or their representative/Letting Agent/Estate Agent “Report” means a written document detailing the outcome of the provision of the Services “Clerk” means the person approved and assigned by One Click Inventories to carry out the Services “Information” means the contents of the Report “Photographs” means all material furnished by the Photographer, whether electronic or physical.
LIMITATION OF LIABILITY
The Client will indemnify and keep fully indemnified One Click Inventories LTD and its officers employees or other agents against any third party claim or action made or instituted against any of them in respect of any losses, damages cost or other expenses in connection therewith (including without limitation any payment by One Click Inventories on legal advice to settle any such claim or action) which is either due to the Client (by act or omission) rendering the Information inaccurate or incomplete or arises otherwise in connection with this agreement but (in connection only to the Client's use of the Services) save to the extent that One Click Inventories is in default.
Acceptance of services is deemed to be an acceptance of the fees due as provided and these terms and conditions.
It is the responsibility of the client to advise One Click Inventories of the parking arrangements at the property for which the services have been requested. Any required permits must be provided to the clerk when the keys are collected. If the clerk arrives at the property without a permit and a permit is required to park, then the job will need to be aborted and the client agrees to pay the relevant aborted job fee (please see section on cancellations further below). If a penalty notice is received by the clerk, then the client agrees to indemnify One Click Inventories for the cost of any ticket or clamping release, provided that no statutory parking offence has been committed by the clerk. Any parking costs, either for collection/return of keys or on street parking at the parking, will be paid by the cleint and added to the invoice sent.
The inventory will be undertaken by One Click Inventories LTD and will provide a fair and accurate record of the condition and contents of the property, and the propertys' internal condition. It is the responsibility of the Landlord and the Tenant or the respective Agents to agree between themselves the accuracy of any report. The person preparing the inventory is not an expert in fabrics, woods, materials, antiques etc, nor a qualified surveyor. The terminology used in describing the items therein may not be accurate and it is accepted that it is for identification purposes only. The inventory should not be used as an accurate description of each piece of furniture and equipment, or as a structural survey report. Property left in lofts, cellars and locked rooms, which have not been inventoried, are the sole responsibility of the Landlord.
The inventory will comprise a list of the furniture, fixtures, fittings and household effects with a description of the state of decoration and condition of the interior and its effect at the premises. The report will be based upon the visible condition of the fixtures at the time of the visit.
All items on the inventory are assumed to be in a good condition and cleaned to a good domestic standard as detailed in our glossary of terms unless otherwise stated.
The clerk will not move heavy items of furniture or similar and we will not be held liable for any detail obscured by such items at the time of the visit.
The Inventory does not purport to be a report of value for the premises and or the contents therein, nor is it a guarantee of, or report of, the adequacy of, or safety of any equipment or contents. It is a list of such items within the premises and the superficial condition of the items and the decorative state of the premises.
The inventory may state when an item of furniture has been seen to have a label advising that it complies with Furniture and Furnishings (Fire and Safety) Regulation 1988, as amended 1993. It should not be assumed that other items not stated comply with this regulation. Compliance with the relevant UK Fire Regulations is the responsibility of the owner/managing agent not with One Click Inventories. It is recommended that all bedding, soft furnishing or any item which is filled/padded be checked by the agent/landlord to ensure that they comply with current regulations. Regulations on furniture purchased in foreign countries may not meet the UK standards. It is the agent/landlords responsibility to ensure that all items adhere to relevant current UK regulations.
Floor coverings, rugs and carpets will be inspected to the extent that they are sufficiently clean and any defects noted, provided they are accessible and not obscured.
Bed linen, towels and similar items will be inspected to check that they have been freshly laundered and then counted. Soiled items will be checked at the discretion of the clerk and noted on the relevant report.
Mattresses will be inspected where accessible and will not be examined if the bed is made up. One Click Inventories reserves the right not to handle/move valuable ornaments nor will One Click Inventories include in the inventory, numbers and titles of books, plants, consumables, items which are packed for storage or miscellaneous items other than garden equipment.
The Inventory Report will list but not itemise or count contents contained in drawers or cupboards, including crockery, pots, pans, cutlery, utensils, and ornaments. A general photograph will be taken to indicate items exist.
Lofts, basements (cellars), locked rooms and any other similar storage area and their contents will not be listed in the Inventory, nor will the Clerk undertake to search through cluttered drawers or cupboards or to unpack box, bags or packaged items.
Windows are only checked to ensure that they are clean with no visible broken glass. It is the responsibility of the tenant to report any non opening windows/defects to the Landlord/Agent.
Intruder alarms and smoke detectors whether listed or not will be considered untested. Additionally, any electrical appliances, and sockets and switches will be considered untested, although any visible signs of damage will be noted.
Any gas central heating system, or gas appliances (including fires) will not be tested. It is the responsibility of the owner/Landlord/Managing Agent to ensure that these are in complete working order and comply with current gas safety regulations.
Where the words ‘silver’, ‘chrome’, ‘oak’, ‘pine’, etc. are used, it is understood that this is a description of the colour and type of the item and not the actual fabric, unless documentary evidence is available. The description of the listed items is for identification purposes only.
Provided the Clerk is able to locate meters, the applicable readings will be included within the Inventory Report. If meters are located above head height, beneath undergrowth or are somehow not readily accessible, or are located on public land or below ground level, then readings will not be taken. In any event, the Instructing Principal should inform the Inventory Clerk of the whereabouts of the meters and these should always be checked by the relevant utility company.
Same day delivery of reports is subject to how many reports we are performing on any given day. We will always try and ensure that all reports are received by you before 09:00am on the next working day.
CHECK IN AND CHECK OUT APPOINTMENTS
One Click Inventories will agree in advance any appointments to meet the tenants at the property for a check in/check out appointment. In the event that there is any delay preventing the appointment from starting at the agreed time, we reserve the right to charge a fee for up to 30 minutes delay. If the appointment can not start within 30 minutes of the agreed time, the appointment will be aborted and the appropriate fee charged.
One Click Inventories reserves the right to apply an additional charge when unnecessary time is incurred, because the Clerk is unable to locate any items which have been moved during the tenancy and have not been replaced in their original position.
One Click Inventories shall be entitled to charge a fee to the person, persons or company who has given the instruction. If the instructions are given by either a landlord, letting agent or any third party, this contract is deemed to be made between One Click Inventories and any of these parties as the principle unless agreed otherwise in writing with One Click Inventories.
Any amendments to the inventory should be noted to One Click Inventories within 7 days of the report being completed. If nothing is heard after this time, it is agreed that the report was accurate.
One Click Inventories will agree in advance any appointments to perform an interim inspection. It is the responsibility of the Landlord to ensure that any tenants have had written notice of the inspection, and arrangements have made to allow us access accordingly. In the event that we are unable to gain access to the property, the appointment will be aborted and the appropriate fee charged.
One Click Inventories can provide overview pictures but will only provide internal pictures if given permission by the client and tenant. The tenant has the right to refuse permission for photographs to be taken if they are present at the time of the property visit.
KEYS – COLLECTION DELIVERY AND MANAGEMENT
It is the responsibility of the landlord to deliver all property access keys to the clerk. In the case of collection from or delivery back to the landlord. If keys are not available before the agreed appointment, One Click Inventories reserve the right to charge for a cancelled appointment.
All our prices are inclusive of all rooms within the property, and are based on the number of bedrooms (a bedroom means any room being used as a bedroom). For properties that exceed two storeys in height, we do add an additional charge of £5 per storey. We also include gardens in the price too, up to a maximum size of 100 sq meters. Any gardens in excess of this size will incur a standard £5 charge per 100 sq meters. Outbuildings are excluded from the report, but we will always include an overview condition of a garage in the report. If, however, you are overly attached to a shed/garage/stable (We've all read fifty sheds of grey after all) or have various content within, and want it included on it's own page, then we can do this for a charge of £5 per outbuilding.
If the size of the property is incorrectly given by the landlord then One Click Inventories reserve the right to charge for the difference and withhold the report until the outstanding balance is settled.
PAYMENT OF CHARGES
The Services requested by the Client will be charged to the Client at the One Click Inventories standard rates as advertised on the website, or rates separately agreed between the two parties by e mail.
Unless agreed otherwise by e mail or as stated on the agreed price list, payment of services are made at the standard payment terms of seven days of the date of receipt of One Click Inventories invoice.
One Click Inventories will charge interest of 5% above the Bank of England base rates on all overdue accounts, and an administration charge of £15.
We do not charge VAT on our fees.
One Click Inventories reserve the right to make a charge where a hard copy of the report is requested.
One Click Inventories reserve the right to charge for our services in advance by credit card or any form of cleared funds.
In the event of incorrect payment for the job, incorrect information resulting in an incorrect quoting of the job or any other incorrect information that results in the price being under quoted, One Click Inventories reserve the right to either withhold any report or cancel the job, in which case cancellation fees would come into effect.
Any additional charges can be made by credit card/BACS facility directly with One Click Inventories. Reports received on full payment.
Initial 20% discount for the first three instructions will deducted from the third invoice. If more than three initial instructions are received at once, the discount will be deducted from that invoice.
REPORTS AND DOCUMENT STORAGE
All reports will be provided as PDF's by email, or by link to a shared online drive. Hard copies are provided only on request and will be subject to a printing charge of 20p per page. In the case that the client does not require any original handwritten documents completed at the check in or check out, One Click Inventories will retain the original document for a period of 1 month from the date of the appointment. Where applicable, all other non signed documentation will be stored by One Click Inventories for a maximum period of 12 months after the end of the previous tenancy.
COMPLAINTS AND REPORT ERRORS
Any complaints should be made in writing to our registered office as soon as possible. Report errors on any reports must be notified to our registered office. One Click Inventories reserve the right not to accept responsibility for any errors in documentation reported after 7 days from the date of the report. One Click Inventories will not accept any liability for errors reported after the occupation of the next occupancy.
PROPERTY PHOTOGRAPHY AND FLOOR PLANS
COPYRIGHT AND OWNERSHIP OF PHOTOGRAPHS
The entire copyright in the Photographs is retained by the Photographer at all times throughout the world.
LICENCE TO USE PHOTOS
The Usage Licence comes into effect from the date of full payment of the relevant invoice(s). The period of usage commences from date of first use. No use may be made of the Photographs before payment in full of the relevant invoice(s), without the Photographer’s express permission. Any permission which may be given for prior use will automatically be revoked if full payment is not made by the due date or if the Client is put into receivership or liquidation. The Usage License only applies to the Client and products as stated on the invoice and its benefit shall not be assigned to any third party without the Photographer’s express permission. Accordingly, even where any form of ‘All Media’ Licence is granted, the photographer’s permission must be obtained before any use of the Photographs for other purposes e.g. use in relation to another product or sub-licensing through a photo library. Any estimate of usage fees to the Client are valid for a period of 3 months only from the estimate date. We reserve the right to renegotiate the fees after the period has expired. Permission to use the Photographs for purposes outside of the Usage License, will normally be granted upon full payment of a further fee, to be agreed with the Photographer. Unless otherwise agreed in writing, all further Licences in respect of the Photographs will be subject to these terms and conditions. The Photographer retains the right in all cases to use the Photographs at any time for the purposes of promoting his/her work.
The Client shall be responsible for obtaining any required clearances and will indemnify the Photographer against all expenses, damages, claims and legal costs arising out of any failure to obtain such clearances.
Where extra expenses or time are incurred by the Photographer, as a result of alterations to the brief by Client, or otherwise at their request, Client shall be liable to pay such extra expenses or fees at an agreed rate to that which has already been agreed.
If Client is not present during the photo-shoot of the Property then Client is obliged to accept Photographers judgement as to the acceptability of the Photographs. There is no right to reject Photographs on the basis of style or composition.
Occasionally, adverse weather conditions may prevent the photographing of a Property due to poor visibility (snowfall, heavy rainfall & fog) of the exterior of the Property. In such circumstances the Photographer will arrange for an alternative suitable time to return to photograph the Property.
Photographer’s liability in any case is limited to professional fees, which have been agreed. Photographer shall not be liable to Client for any loss of sale, profit, business or cancellation of or reduced viewings of Property, which Client assumes may arise out of or in connection with the photographing of the Property. Photographer shall not be liable should the Property of Client fail to sell or let.
Floor plans are for layout purposes only and are not intended to be scale drawings. Measurements are approximate and should not be relied upon for valuation purposes. It is the responsibility of the Client to agree that the floor plan is reasonably accurate enough and acceptable for its intended purpose. One Click Inventories LTD accepts no liability whatsoever for any error or omission or inadvertent mis-statement in a floor plan.
Advertised floor plan prices are up to and including 1000 square feet of a residential property, with each additional square foot being charged at 4 pence.
One Click Inventories can accept instructions from the Client for a report via e-mail, telephone, or the client's own system. Once an instruction is received, an agreement is deemed to exist between the Company and the Client under these Terms and Conditions. Any inventory is confirmed by email. Confirmation will define the services to which the Company and any assigned clerk will work. Any errors contained within any confirmation not corrected by the client upon receipt will be at the liability of the Client.
One Click Inventories reserves the right to make a charge of the full fee of the assignment value to the Client for the cancellation of a job, for whatever reason (and including mis instruction) on the day of the visit. Cancellations after noon the previous day may result in a charge of up to 100% of the assignment. Any cancellations prior to noon the previous day will result in the following fees;
Inventories - £42 Check In/Out appointments - £42 Inspections - £24 Photography and floor plans – 50% of the job cost
A charge of £25.00 per half hour may be made for waiting time at the property beyond the confirmed time/allowed waiting period for the service due to late arrival of a tenant or client, incorrect notified location of keys or documentation, or any delay in gaining access to the property beyond the control of the clerk or One Click Inventories.
Both parties hereto undertake to each other that in respect of their obligations under this agreement they will at all times comply fully with all relevant statutory enactments.
In the event of either party being rendered unable wholly or in part by force majeure to carry out its obligations under this agreement it is agreed that on that party giving notice of such force majeure to the other party with reasonable promptness the obligations of the party giving such notice so far as they are affected by such force majeure shall be suspended during the continuation of the same it being agreed that each party shall use all reasonable endeavors to remove or avoid such force majeure with all reasonable dispatch.
The term "force majeure" as used herein shall mean acts of God, strikes, lockouts or other industrial disturbances, acts of public enemy, wars, blockades, insurrections, riots, epidemics, landslides, lightning, earthquakes, fire, storm, civil disturbances, terrorism, governmental or quasi-governmental regulations and directions and any other cause not within the reasonable control of the party claiming suspension all of which by the exercise of due diligence such party is unable to prevent.
In the event that the obligations of either party are suspended (as aforesaid) by reason of force majeure for a period in excess of 30 days then either party to this agreement may on giving written notice to the other terminate this agreement.
